The Complete Indian Full and Final (FnF) Settlement Guide

When an employee resigns, is laid off, or retires from an organization in India, the employer is legally obligated to execute a Full and Final (FnF) Settlement. This process reconciles all financial dues, statutory retiral entitlements, and contractual deductions between the company and the individual.

1. Statutory Legal Timelines for FnF Settlement

  • Current Industry Practice: Most corporate payrolls disburse FnF settlements within 30 to 45 days following the employee's Last Working Day (LWD). This window allows HR and IT teams to verify asset returns, calculate leave balances, and obtain inter-departmental clearances.
  • Code on Wages, 2019 (Section 17): Once fully notified across Indian states, employers must settle all unpaid wages within two working days of the employee's removal, dismissal, retrenchment, or resignation.

2. Statutory Tax Treatment of FnF Components

Component Governing Section Tax Exemption Limit Taxability Status
Unpaid Monthly Salary Section 15 & 192 None (Standard Slabs apply) Fully taxable at employee's income tax slab rate.
Earned Leave Encashment Section 10(10AA) ₹25,00,000 (Non-Govt)
Unlimited (Govt)
Budget 2023 increased non-government exemption from ₹3 Lakh to ₹25 Lakh. Amounts above ₹25L are taxable.
Statutory Gratuity Section 10(10) ₹20,00,000 Tax-free up to ₹20 Lakh after completing 5 continuous years of service.
Notice Period Shortfall Recovery Contractual / Case Law N/A Deducted from gross payout. Under judicial rulings, tax is only payable on real income received.
EPF & VPF Balance Section 10(11) / 10(12) 100% Tax-Free (if ≥ 5 yrs) Not paid in FnF cheque; transferred via UAN portal or withdrawn directly via EPFO Member Portal.

3. Essential Documents to Collect Upon Settlement

  1. Itemized FnF Settlement Statement: Detailed breakup of salary days, leave encashment rate, gratuity computation, and TDS deducted.
  2. Relieving Letter & Experience Certificate: Mandatory proof of formal release required by your next employer.
  3. Form 16 (Part A & Part B): Reflecting TDS deducted on the exit settlement and throughout the financial year.
  4. EPFO Date of Exit Updation: Ensure employer updates your Date of Exit (DOE) on the EPFO Unified Portal so you can seamlessly transfer your PF to your new employer.
Privacy Guarantee: All calculations execute 100% client-side directly in your browser. None of your salary figures, resignation details, or tax numbers are ever uploaded or transmitted to any server.

Frequently Asked Questions on Job Exit & FnF Settlement

What is the legal timeline for processing an FnF settlement in India?

Under standard Indian corporate practice and state Shops and Establishments Acts, Full and Final (FnF) settlements are typically processed and disbursed within 30 to 45 days from the employee's Last Working Day (LWD). Under the new Code on Wages, 2019, wages payable to an employee who resigns or is terminated must be paid within two working days of the removal/resignation.

What components are included in an FnF settlement statement?

An FnF statement contains two sides: 1) Payables (Earnings): Unpaid salary for working days in the exit month, encashment of accumulated Earned/Privilege Leaves (EL/PL), statutory gratuity payout (if service >= 5 years), performance bonus, and travel reimbursements. 2) Deductions (Recoveries): Notice period shortfall recovery (if full notice was not served), Employee PF, Professional Tax, pending salary advances, company asset damage, and estimated TDS.

Is leave encashment taxable in an FnF settlement?

Under Section 10(10AA) of the Income Tax Act, leave encashment at the time of retirement or resignation is 100% tax-exempt for central and state government employees. For non-government (private sector) employees, the statutory exemption limit was increased to ₹25,00,000 (from ₹3 Lakh) by the Finance Act, 2023. Any leave encashment amount exceeding ₹25 Lakh is taxable at normal slab rates.

How is Notice Period shortfall recovery calculated when leaving early?

If you resign and serve fewer days than mandated by your employment contract (e.g. serving 30 days of a 90-day notice requirement), the company recovers salary for the unserved shortfall (60 days). The recovery is calculated as: (Required Notice Days - Served Days) * (Gross or Basic Salary / 30). This amount is deducted directly from your FnF settlement cheque.

When does an exiting employee become eligible for Gratuity in FnF?

Under Section 4(1) of the Payment of Gratuity Act, 1972, gratuity is payable to an employee on resignation or retirement if they have rendered continuous service for not less than 5 years with the organization. For establishments covered under the Act, service of 4 years and 7 months (more than 6 months in the 5th year) legally rounds up to 5 completed years, qualifying the employee for statutory gratuity.

Can an FnF settlement have a negative balance where the employee owes the company?

Yes. If an employee has a significant notice period shortfall (e.g. unserved 2 months), unreturned company equipment, or an outstanding salary advance that exceeds their unpaid working days and leave encashment, the net settlement will be negative. The employee must pay this balance to the company before receiving their official Relieving and Experience letters.
